Thank you for applying to use the auto-renewal authorized deduction service (hereinafter referred to as "the Service") provided by DeepPiano, a product of Beijing Zhiqu Technology Co., Ltd. (hereinafter referred to as "DeepPiano"). Please carefully read and agree to all terms of the DeepPiano Auto-Renewal Subscription Agreement (hereinafter referred to as "this Agreement"). If you do not agree to all or part of this Agreement, please do not select "Agree and Accept" in any form of confirmation (including but not limited to checking a box or clicking a button) or use the Service.
By checking "Agree and Accept the DeepPiano Auto-Renewal Subscription Agreement," you acknowledge that you and DeepPiano have reached an agreement, and you voluntarily accept all terms of this Agreement. You may not subsequently raise any defense on the grounds that you did not read this Agreement. DeepPiano strongly recommends that you print or save a local copy of this Agreement for your records before proceeding.
1.1 The Service forms part of DeepPiano Online Services (as used in this Agreement, "DeepPiano Online Services" refers to all services provided through the DeepPiano App and website). The Service is designed to prevent losses caused by your failure to renew in a timely manner due to oversight or other reasons. Therefore, you must have activated DeepPiano Online Services before applying to use the Service.
1.2 You must have the appropriate legal capacity and capacity for civil conduct to independently assume legal liability when using the Service. If you are under 18 years of age, you may only use the Service accompanied by and under the supervision of a parent or legal guardian.
1.3 This Agreement, as a sub-agreement of the "DeepPiano Online Services Agreement Series," has equal and inseparable legal effect with the "DeepPiano Online Services Agreement Series." Before using the Service, you shall accept and agree to all terms of the "DeepPiano Online Services Agreement Series," this Agreement, and all related agreements, rules, and announcements pertaining to DeepPiano Online Services and the Service, particularly clauses that limit or exclude liability (such clauses may be highlighted in bold to draw your attention).
The following actions shall be deemed as your acknowledgment of all terms of this Agreement and the DeepPiano Online Services Agreement Series:
(1) Actual use of the DeepPiano App and website services;
(2) Actual use of any products or services provided by DeepPiano in conjunction with the Service;
(3) Actual use of any products or services provided by third parties in conjunction with the Service (if applicable).
2.1 By applying to use the Service, you irrevocably authorize DeepPiano to deduct the fees for the next billing cycle from the balance of your DeepPiano Online Services top-up account or third-party payment account linked to your DeepPiano account (collectively referred to as the "Account") before or after the expiration of the specific DeepPiano Online Service you have subscribed to. Billing cycles include but are not limited to monthly, quarterly, and annual periods (subject to the billing cycle you select at the time). This Service requires that you have linked your DeepPiano account to the aforementioned Account and that the deduction can be successfully completed.
2.2 Auto-renewal means that DeepPiano collects the fees for your next billing cycle through the aforementioned Account, records the payment in your payment history, and simultaneously extends the validity period of the specific DeepPiano Online Service you have subscribed to. You must ensure that there is sufficient balance in the Account. You shall bear sole responsibility for any renewal failure caused by insufficient balance.
2.3 DeepPiano will make available payment channels including but not limited to WeChat Pay, Alipay, UnionPay Online, carrier billing, and iTunes account, allowing you to choose different payment methods to authorize DeepPiano to execute payments. For the iTunes payment channel, you are obligated to regularly ensure sufficient account balance. If deduction cannot be completed due to insufficient balance or other reasons, DeepPiano reserves the right to suspend the specific DeepPiano Online Service you have subscribed to without further notice.
2.4 If the service price is adjusted at or before the time of auto-renewal, DeepPiano will notify you through in-app notification or your registered email address, and the adjusted current effective price shall prevail. If you do not accept the adjusted price, you may unsubscribe from the Service in accordance with Article 3 of this Agreement.
2.5 If errors occur during the deduction process, DeepPiano and you shall cooperate closely to determine the cause. Each party shall bear the losses caused by its own fault. If losses are caused by disproportionate fault of both parties, each party shall bear corresponding liability in proportion to their respective degree of fault. If both parties are jointly responsible, the losses shall be shared equally.
2.6 The Service provided by DeepPiano is limited to use on the platform or client where the specific DeepPiano Online Service you have subscribed to is located. Any act of separating the Service from the corresponding platform or client through illegal means such as unauthorized circumvention shall not fall within the scope of the Service as stipulated in this Agreement. All legal consequences arising therefrom shall be borne by the perpetrator, and DeepPiano will pursue legal liability in accordance with the law.
2.7 You may choose at your own discretion whether to cancel the Service. If you do not choose to cancel, you shall be deemed to have agreed that DeepPiano may deduct fees in accordance with the agreed rules. Once deduction is successful, DeepPiano will activate the service for the next billing cycle.
2.8 DeepPiano does not charge additional fees for your activation of the Service. However, DeepPiano reserves the right to decide whether to charge for the Service itself or to adjust the auto-renewal cycle and fees based on business needs or market changes (price adjustments require advance notice; see Section 2.4 for details).
3.1 Service Validity
3.1.1 The Service is effective on a long-term basis, commencing from when you choose to accept or use the Service, until you voluntarily terminate the Service, the Service is terminated due to your violation of relevant agreement rules, or the specific DeepPiano Online Service you have subscribed to is terminated, at which point the Service shall be terminated simultaneously.
3.1.2 Any auto-renewal deduction instructions that you have authorized DeepPiano to issue before you choose to terminate the Service shall remain valid. DeepPiano will not refund fees already deducted pursuant to such instructions.
3.2 How to Unsubscribe
3.2.1 You may choose to unsubscribe from the Service at any time at your own discretion.
3.2.2 If you choose not to continue using the Service in the next billing cycle, please complete unsubscription within 24 hours before the end of the current billing cycle to ensure that the unsubscription takes effect. The unsubscription methods for each platform are as follows:
(1) iOS: Go to "Settings" → "Apple ID" → "Subscriptions," and select the corresponding subscription to cancel;
(2) Android (Google Play): Go to Google Play → "Account" → "Subscriptions," and select the corresponding subscription to cancel;
(3) WeChat Pay / Alipay: Go to the "Auto-Renewal Management" page of the corresponding payment platform and disable the auto-renewal for the corresponding service.
3.2.3 After unsubscription, the remaining benefits within the current billing cycle may continue to be used until expiration. Fees already deducted will not be refunded.
4.1 Account Management
4.1.1 A DeepPiano account is for the exclusive use of the registered user and may not be transferred, lent, leased, or shared with others in any form. Users shall safeguard their account credentials and passwords. All losses resulting from inadequate account security shall be borne solely by the user.
4.1.2 A single DeepPiano account may be logged in and used on up to 3 devices, and at any given time, the App content may be used or played on up to 2 devices of different types (only 1 device of the same type may be used at any given time). "Devices" as used herein include but are not limited to smartphones, tablets, and similar devices. If account usage exceeds the above limits, DeepPiano reserves the right, without further notice, to take measures including but not limited to forcing devices offline, restricting login, restricting usage, or interrupting or terminating services. All consequences arising therefrom shall be borne by the account user.
4.2 Commercial Use Restrictions
4.2.1 Users shall not use the App or any paid content within the account for any profit-making or commercial purpose, including but not limited to:
(1) Using the account for multiple students at piano training institutions, music stores, schools, or other commercial venues;
(2) Recording or screenshotting in-app educational content for external sale or paid instruction;
(3) Transferring, distributing, or selling access to the account to third parties in any form;
(4) Using App content to create commercial promotional materials or for other commercial promotion purposes.
4.2.2 Without obtaining prior formal written permission from DeepPiano, you shall not use the Service in any area other than DeepPiano Online Services, nor shall you directly or indirectly engage in any commercial activities with the Service (including but not limited to resale, trading, or equivalent exchange).
4.2.3 If you wish to use the App in a commercial setting (such as institutional bulk purchases or commercial partnerships), you must enter into a separate commercial licensing agreement with DeepPiano and obtain written authorization before use. 4.3 Enforcement
4.3.1 DeepPiano reserves the right to monitor account login devices, usage frequency, and usage patterns through technical means. Upon discovery of any violation of this Article, DeepPiano may take one or more of the following measures without refunding any fees already collected:
(1) Issue a warning and require the user to immediately cease the violation;
(2) Restrict some or all account functions;
(3) Forcibly deactivate the offending account;
(4) Pursue legal liability and claims for damages against the user in accordance with the law.
When a user applies for a refund, the refund rules shall be executed in accordance with these terms and DeepPiano's related rules. In the event of a conflict between other rules and the "General Refund Principles" of this Article, the "General Refund Principles" shall prevail.
5.1 General Refund Principles
5.1.1 When applying for a refund, users shall provide the required materials as requested by DeepPiano, including valid identification, proof of service purchase, and payee account information, among others.
5.1.2 For complimentary services or other virtual benefits received as gifts, users may not separately apply for a refund of the gifted portion, nor may they offset it against cash or request a refund in disguised form. Upon termination, dissolution of this Agreement, or user refund, complimentary benefits shall become void and may not be converted to cash.
5.1.3 The mobile phone number and identity information used to apply for a refund must be consistent with the information provided at the time of service purchase; otherwise, DeepPiano reserves the right to reject the refund application.
5.1.4 The refund processing periods stated in this Agreement shall be calculated from the date the user submits the refund application and related materials and the application is approved by DeepPiano.
5.1.5 If you obtained DeepPiano services through a third-party channel (including but not limited to Apple App Store, Google Play, etc.), refund requests must be submitted to that third-party channel. DeepPiano is not responsible for processing such refunds, and the specific policies of the third-party platform shall apply.
5.2 Refund Eligibility
5.2.1 Circumstances Eligible for Refund
(1) Technical failure: Where DeepPiano's server-side issues (including but not limited to server failures, system crashes, or core functionality being continuously unavailable for more than 72 hours) prevent the user from normally using paid features, and DeepPiano fails to repair the issue within a reasonable period;
(2) Duplicate charges: Where system errors result in duplicate charges within the same billing cycle, the excess amount shall be fully refunded;
(3) Unauthorized purchase by a minor: Where a minor under 18 years of age makes a payment without the consent of a parent or legal guardian, the guardian must provide relevant supporting materials and apply for a refund within 7 calendar days of the purchase;
(4) iOS platform: For orders paid through App Store in-app purchases, refund requests must be processed through Apple's official channels. DeepPiano cannot directly intervene, and Apple's refund policy shall apply.
5.2.2 Circumstances Not Eligible for Refund (Please Confirm Before Purchase)
(1) Where the user has already used paid features (including but not limited to unlocked sheet music content, or accumulated use of paid features exceeding 30 minutes) before applying for a refund;
(2) Where a refund is requested for subjective reasons such as "dislike," "does not meet expectations," or "unsatisfied with learning results" (this App is an auxiliary tool and makes no guarantees regarding learning progress or improvement in performance level);
(3) Where a cancellation is requested within the current billing cycle after a successful auto-renewal deduction;
(4) Where the account has been banned due to violation of this Agreement or related rules, resulting in inability to use the service;
(5) Promotional activities, limited-time offers, consumable items, one-time purchase content, or orders specifically marked as "non-refundable";
(6) Orders where the application is made more than 7 calendar days after the payment date (except where mandatory provisions of laws and regulations provide otherwise).
5.3 Refund Application Process
5.3.1 Application Methods
Users may submit refund applications through the following methods (please refer to Section 5.4 for refund pathways for different payment channels):
(1) In-App: Go to "Me" → "Customer Service" → "Add Customer Service" → "Apply for Refund";
(2) Customer service email: service@deepwav.ai;
(3) Customer service hours: Monday to Friday, 10:00 AM – 6:00 PM (excluding statutory holidays).
5.3.2 Required Materials
When submitting a refund application, users must provide the following materials:
(1) The phone number, email, or App UUID associated with the registered account;
(2) Payment receipt or order screenshot;
(3) Explanation of the reason for the refund;
(4) If the purchase was an unauthorized purchase by a minor, guardian identification and relevant supporting materials must also be provided.
5.3.3 Review Timeline
DeepPiano will complete the review within 7 business days of receiving the application and complete materials, and will notify the applicant of the review result through in-app notification, customer service, or email.
5.4 Refund Method and Processing Time
5.4.1 Refunds will be returned to the account used by the user at the time of payment (WeChat Pay, Alipay, bank card, etc.) via the original payment method;
5.4.2 The refund operation will be completed within 5–10 business days from the date the review is approved. The actual arrival time is subject to the processing time of the third-party payment platform;
5.4.3 For orders paid through the Apple App Store, refunds are processed by Apple. The arrival time is determined by Apple, and DeepPiano does not separately process such refunds.
5.5 Special Notes
5.5.1 Membership subscriptions: Refunds for subscription-based paid services apply only to the most recent deduction cycle. Fees consumed in prior cycles will not be refunded;
5.5.2 One-time purchase content: Virtual content purchased outright, such as sheet music packs, shall be deemed delivered upon unlocking. In principle, refunds are not supported, except where mandatory provisions of laws and regulations provide otherwise;
5.5.3 Gift codes / redemption codes: Benefits activated through gift codes or redemption codes are non-refundable and may not be converted to cash;
5.5.4 This refund policy applies to payments made through DeepPiano's official channels (official website, official App). Purchases made through third-party channels are subject to the policies of those channels.
5.6 Breach of Contract
If a user requests a refund more than 7 days after purchase, the refund request shall essentially constitute a unilateral termination of the contract and shall be deemed a breach of contract. The user shall bear liability for breach of contract and shall pay DeepPiano a penalty (i.e., "early termination penalty," calculated at 25% of the amount actually paid by the user). In such circumstances, [User Refund Amount] = [Amount Actually Paid by User] - [Early Termination Penalty] - [Membership Service Fee Calculated Based on Months Actually Used] - [Corresponding Gift Costs (e.g., non-returnable gifts, damaged gifts, etc.)]. Where [Membership Service Fee Calculated Based on Months Actually Used] = Amount Actually Paid by User / Number of Months in the Official Membership Period (excluding complimentary periods) × Number of Months Actually Used. If the actual usage in the month of the refund application is less than one full month, it shall be calculated as one full month. No refund shall be granted if the remaining membership days are less than one month.
5.7 Refund Disputes
If a user disagrees with the refund review result, they may submit an appeal within 15 calendar days of receiving the result notification, and DeepPiano will assign a dedicated person to conduct a re-review. If a dispute remains after the re-review, both parties may resolve it in accordance with the dispute resolution method agreed upon in Article 8 of this Agreement.
You acknowledge and warrant that you will not use the Service to directly or indirectly engage in any of the following activities that violate national laws, regulations, or public order and good morals:
(1) Violating the fundamental principles established by the Constitution;
(2) Endangering national security, divulging state secrets, subverting state power, or undermining national unity;
(3) Damaging national honor and interests;
(4) Inciting ethnic hatred or ethnic discrimination, or undermining ethnic solidarity;
(5) Undermining national religious policies, promoting cults, or promoting feudal superstition;
(6) Spreading rumors, disrupting social order, or undermining social stability;
(7) Disseminating obscenity, pornography, gambling, violence, terror, or inciting criminal activity;
(8) Insulting or defaming others, or infringing upon the lawful rights and interests of others;
(9) Inciting illegal assemblies, associations, processions, demonstrations, or gatherings that disrupt social order;
(10) Conducting activities in the name of illegal civil organizations;
(11) Containing other content prohibited by laws or administrative regulations.
DeepPiano reserves the right to monitor your use of the Service from time to time. If you are found to be engaging in any of the above activities, DeepPiano shall have the right to immediately revoke your right to use the Service without any compensation, report the matter to relevant government authorities in accordance with the law, and reserve the right to pursue claims against you for any losses caused to DeepPiano.
7.1 DeepPiano reserves the right to amend this Agreement from time to time based on business needs, changes in laws and regulations, or other reasons. Any amendment to the Agreement will be communicated to you at least 15 days in advance through in-app notification or your registered email address.
7.2 If you continue to use the Service after the amended Agreement takes effect, you shall be deemed to have accepted all terms of the amended Agreement. If you do not accept the amendments, you may unsubscribe from the Service in accordance with Article 3 of this Agreement.
DeepPiano and you shall resolve disputes arising from the performance of this Agreement through amicable negotiation. If negotiation fails, either party shall have the right to submit the dispute to a competent People's Court in Beijing for litigation. The interpretation, validity, and enforcement of this Agreement and related matters shall be governed by the laws of the People's Republic of China.
